1. Introduction and Acceptance of Terms

Welcome to KarmaKoders ("Company", "we", "our", or "us"). These Terms and Conditions ("Terms") govern your access to and use of the website www.karmakoders.com (the "Site") and any related services, projects, or deliverables provided by us (collectively, the "Services").

By accessing our Site, engaging our Services, or signing a project agreement with us, you ("Client", "Customer", or "User") agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Site or Services.

2. Our Services

KarmaKoders is a next-generation AI and technology agency. We provide a range of digital services, including but not limited to:

• Web Engineering: Custom website development, web applications, and e-commerce solutions.
• AI Automation: Artificial intelligence integration, custom LLM implementations, and workflow automation.
• UI/UX Design: User interface and user experience design, prototyping, and branding.
• Mobile Solutions: iOS and Android application development.
• Growth Analytics: Data tracking, SEO, and performance optimization.
• Enterprise Cyber Security: Security audits, vulnerability assessments, and secure infrastructure setup.

The specific scope, deliverables, and timelines for your project will be outlined in a separate Statement of Work (SOW) or Project Agreement. In the event of a conflict between these Terms and a signed SOW, the SOW shall prevail regarding that specific project.

3. Client Responsibilities

To ensure the successful delivery of our Services, you agree to:

• Provide all necessary content, assets, credentials, and information in a timely manner.
• Review deliverables and provide constructive feedback within the agreed-upon timeframes.
• Ensure that any content or materials you provide to us do not infringe upon the intellectual property or privacy rights of any third party.
• Make payments according to the schedule outlined in your project agreement.

Delays caused by the Client's failure to provide information or timely feedback may result in project delays and additional costs.

4. Intellectual Property Rights

4.1 Client Ownership

Upon full payment of all fees, the Client will own the final, custom-designed deliverables (e.g., final website code, custom graphics, specific AI workflows) created specifically for the Client under a signed project agreement.

4.2 KarmaKoders Ownership

We retain all rights, title, and interest in and out of our pre-existing code, libraries, frameworks, methodologies, tools, and generic concepts used to create the deliverables ("Background IP"). We grant the Client a non-exclusive, perpetual, royalty-free license to use our Background IP solely as integrated into the final deliverables.

4.3 Third-Party Assets

Our deliverables may include third-party open-source software, fonts, stock images, or APIs. These remain subject to their respective licenses, and we will provide the Client with details of such licenses upon project completion.

5. Payment Terms

• Invoicing: Payment schedules will be defined in the project proposal or SOW (e.g., 50% upfront, 50% on completion).
• Late Payments: Invoices not paid within the specified due date may incur a late fee of 1.5% per month or the maximum rate permitted by law.
• Taxes: All fees are exclusive of applicable taxes, duties, or government levies, which shall be borne by the Client.
• Suspension of Work: We reserve the right to pause or suspend project work if invoices remain unpaid beyond 15 days of the due date.

6. Technology Disclaimers

6.1 AI Automation & Machine Learning

While we strive to build highly accurate AI solutions, artificial intelligence and machine learning models are inherently probabilistic. We do not guarantee that AI-generated outputs will be 100% accurate, error-free, or free from bias. The Client is responsible for reviewing AI outputs and should not rely solely on them for critical, legal, medical, or financial decisions without human oversight.

6.2 Cyber Security Services

Our cyber security services (including audits, penetration testing, and security implementations) are designed to identify vulnerabilities and improve security posture based on industry standards at the time of service. However, no system, network, or website can be guaranteed to be 100% secure or immune to hacking, data breaches, or zero-day exploits. We are not liable for security breaches that occur after our services have been delivered.

7. Warranties and Limitation of Liability

7.1 Warranties

We warrant that our Services will be performed in a professional and workmanlike manner. EXCEPT FOR THIS EXPRESS WARRANTY, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

7.2 Limitation of Liability

To the maximum extent permitted by law, KarmaKoders shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with our Services. Our total aggregate liability for any claim arising out of these Terms shall not exceed the total amount paid by the Client to us for the specific service giving rise to the claim.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the project. We will not disclose your business secrets, customer data, or proprietary algorithms to third parties, except as required by law or as necessary to complete the project (e.g., sharing data with our trusted sub-contractors under strict NDAs).

9. Termination

Either party may terminate a project agreement with written notice if the other party materially breaches these Terms and fails to cure the breach within 14 days of receiving notice.

If the Client terminates the project for convenience, the Client shall be responsible for paying for all work completed up to the date of termination. Upon termination and full payment, we will hand over all completed work-in-progress to the Client.

10. Use of Our Website

When using www.karmakoders.com, you agree not to:

• Use the Site for any unlawful purpose or to solicit others to perform or participate in any unlawful acts.
• Attempt to gain unauthorized access to our servers, networks, or user data.
• Scrape, data mine, or use automated bots to extract content from the Site without our explicit written permission.
• Upload or transmit any viruses, malware, or malicious code through our contact forms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or our Services shall be subject to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan, India.

Before initiating any legal proceedings, both parties agree to attempt to resolve the dispute amicably through good-faith negotiations for a period of at least 30 days.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting the updated Terms on this page, with the "Last Updated" date revised accordingly. Your continued use of the Site or Services after any changes constitutes your acceptance of the new Terms.
